Acceptance of Terms

By accessing and using the services provided by Michael Volynskiy operating under Volynskiy Business Automation ("we", "us", "our"), you ("Client", "you", "your") agree to be bound by these Terms of Service ("Terms").

Important: If you do not agree to these terms, please do not use our services. Your continued use of our services constitutes acceptance of any updates to these terms.

These Terms govern your use of our AI automation services, including AI assistants, agents, chatbots, and related business automation solutions.

Service Description

We provide comprehensive AI automation solutions including:

  • AI Assistants - Intelligent virtual assistants for customer support
  • AI Agents - Autonomous systems for business process automation
  • Smart Chatbots - Conversational AI for customer engagement
  • Business Automation - End-to-end workflow optimization
  • Custom Integration - Tailored solutions for your business needs
  • Analytics & Reporting - AI-powered insights and performance metrics

Service Availability:

Our services are provided on a best-effort basis. While we strive for 99.9% uptime, we cannot guarantee uninterrupted service due to maintenance, updates, or unforeseen circumstances.

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information for service setup
  • Maintain the confidentiality of your account credentials
  • Use our services in compliance with applicable laws and regulations
  • Not attempt to reverse engineer, modify, or distribute our AI systems
  • Promptly notify us of any security breaches or unauthorized access
  • Provide necessary access to your systems for integration purposes

Prohibited Uses:

  • Illegal activities or violation of any laws
  • Harassment, abuse, or harmful content generation
  • Attempting to compromise system security
  • Reselling or redistributing our services without permission

Payment Terms

Payment terms are established in your service agreement and may include:

  • Setup Fees - One-time charges for initial configuration
  • Monthly Subscriptions - Recurring charges for ongoing services
  • Usage-Based Fees - Charges based on API calls, messages, or interactions
  • Custom Development - Project-based pricing for bespoke solutions

Payment Schedule:

  • Setup fees are due before service activation
  • Monthly fees are billed in advance
  • Usage fees are billed monthly in arrears
  • Late payments may result in service suspension

Refund Policy: Setup fees are non-refundable. Monthly subscription fees may be prorated for early termination with 30 days notice.

Intellectual Property

All intellectual property rights in our AI systems, software, and related materials remain our exclusive property. This includes:

  • AI algorithms and machine learning models
  • Software code and system architecture
  • Documentation and training materials
  • Trademarks, logos, and branding

Client Data Rights:

You retain ownership of your business data. We use your data solely to provide services and improve our AI systems. We do not sell or share your data with third parties without your consent.

Data Security and Privacy

We implement industry-standard security measures to protect your data:

  • Encryption - All data is encrypted in transit and at rest

Service Level Agreement

We commit to the following service levels:

  • Uptime: 99.5% monthly uptime guarantee
  • Response Time: API responses within 2 seconds average
  • Support: Business hours support (9 AM - 6 PM, Monday-Friday)
  • Updates: Regular system updates and improvements

Service Credits:

If we fail to meet our uptime guarantee, you may be eligible for service credits as outlined in your service agreement.

Limitation of Liability

To the maximum extent permitted by law, our liability is limited as follows:

Liability Limitations:

  • Total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for indirect, consequential, or punitive damages
  • We are not responsible for third-party integrations or external system failures
  • AI-generated content accuracy is not guaranteed

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or internet outages.

Termination

Either party may terminate this agreement:

  • For Convenience: With 30 days written notice
  • For Cause: Immediately upon material breach
  • Non-Payment: After 15 days of overdue payment

Upon Termination:

  • Services will be discontinued
  • Your data will be returned or securely deleted per your request
  • Outstanding fees remain due and payable
  • Confidentiality obligations survive termination

Governing Law and Disputes

These Terms are governed by the laws of Israel. Any disputes shall be resolved through:

  • First: Good faith negotiation between the parties
  • Second: Mediation by a mutually agreed mediator
  • Finally: Binding arbitration in Tel Aviv, Israel

Updates to Terms
